Credit Terms

As a convenience to firms with acceptable credit ratings, Wolff Bros. Supply, Inc. offers the following credit terms:

Unless otherwise stated, payment terms are NET 30 days. The billing period runs from the FIRST day of the month to the LAST day of the same month. If offered on the invoice, a cash discount may be taken if payment is received on or before the 15th of the following month. A service charge of 2% per month (24% per annum) will be invoiced on all past due invoices. All non-credit sales must be paid at the time the order is received or in advance. No orders will be shipped unless payment procedures have been arranged.

Taxes

All local, state and federal taxes of any nature will be added to prices unless an exemption certificate has been furnished.

Returns and Allowances

If it is necessary for the purchaser to return material, purchaser must obtain our permission before making any return. As we accept only material originally purchased from Wolff Bros. Supply, Inc., purchase invoice must accompany the return. Returns are subject to a minimum 15% restocking charge, unless the return is due to an error on the part of Wolff Bros. Supply, Inc. or defective product within manufacturer's warranty. (If the invoice cannot be supplied by the customer, but can be obtained by Wolff Bros., the return will be subject to a minimum 15% restocking charge.)

All Types of Returns

If it is necessary for the purchaser to return material, purchaser must obtain our permission before making any return. As we accept only material originally purchased from Wolff Bros. Stock Material Returns

All returned goods must be in like new condition in original packaging and must be returned within ninety (90) days of original purchase date in order to qualify for credit. Discontinued, deleted, or items tagged to be discontinued are non-returnable.

Special Order Material Returns

Special order (non-stock) merchandise cannot be returned without prior approval by Wolff Bros. Supply, Inc. and the vendor. Some special order items are not returnable. If the return is approved, in addition to the previous conditions for stock returns, special orders are subject to the following additional charges and conditions--all transportation, handling, vendor restocking costs.

Defective Material Returns

Credit for defective material will be issued subject to terms and limitations of the manufacturer's warranty policies. If upon return or inspection of the alleged defective material by the vendor or vendor's representative, the material is found not to be within warranty, the material will be back charged to the purchaser.

Cut lengths of pipe, cable, and fabricated items are not returnable.

Special Orders

Orders for special (non-stock) merchandise cannot be cancelled without prior approval by Wolff Bros. Supply, Inc. and the vendor.

In the event that special order material can be cancelled, the purchaser will be subject to any transportation, handling, and vendor cancellation charges incurred. A deposit may be required on orders for non-stock material

Delivery

Delivery of merchandise is contingent upon manufacturer's ability to meet promised delivery date. All orders are accepted subject to strikes, accidents, and events beyond our control. Wolff Bros. Supply, Inc. shall not be liable to customers for any incidental or consequential damage by reason of its inability to fill or deliver purchaser's orders.

Warranties

All merchandise sold by us is subject solely to the manufacturer's warranty (if any) covering cost of repair or replacement. THERE ARE NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, AND SELLER EXPRESSLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. In no event will Wolff Bros. Supply, Inc. be liable to Buyer for any incidental or consequential damages as a result of any breach of warranty or for more than the purchase price of the products sold hereunder.

Shipping Claims

Any claims for shipping damages, discrepancies or shortages must be made in writing within three (3) working days from receipt of material. Claim on direct ship items must be made with the carrier that delivered the material.

Prices

All prices are F.O.B. from point of shipment, unless otherwise stated, and prices are subject to change without prior notice.

Changes of Address and Authorized Agents

Please notify Wolff Bros. Supply, Inc. promptly and in writing of any changes in address or authorized agents. Wolff Bros. Supply, Inc. will not be held liable for customer's failure to notify us of such changes.

Changes of Terms and Conditions of Sale

Wolff Bros. Supply, Inc. reserves the right to change these terms and conditions of sale at any time. Any additional or different terms and conditions submitted with Purchaser's purchase order or other documents are hereby rejected unless expressly consented to in writing. Merchandise prices and specifications are subject to change without notice. We reserve the right to correct descriptive, typographic or photographic errors at any time.These Terms and Conditions of Sale shall be construed and interpreted in accordance with the laws of the State of Ohio, and all disputes arising hereunder shall be subject to the jurisdiction of the Court of Common Pleas of Medina County, Ohio. Purchaser is responsible to reimburse Wolff Bros. for any taxes assessed due to invalid exemption certificates.

General Rules

General Rules govern all promotions conducted by Wolff Bros. Supply.

All promotions are open to residents of the State of Ohio age 18 and older only.

Promotions are valid only during the dates indicated.

By participating in a promotion or accepting any prize, entrants and winners accept and agree to the Official Rules of each promotion as defined below.

Agreement

1. All transactions are subject to Wolff Bros. Supply's Standard Terms & Conditions of Sale available online at: https://www.wolffbros.com/policies. These terms may be changed at Wolff at any time. Please check the website for regular changes.
2. Returns - Customers must request and receive prior approval for all returns.
   1. All returns of eligible items must be completed within 90 days of invoice date and accompanies by the original invoice.
   2. All returned items, except items returned as defective, must be in like-new condition without any signs of use or wear and packaged as originally received and are subject to Wolff approval.
   3. All permitted returns are subject to a restocking fee of no less than 15%, unless the return is due to Wolff error or due to a product defect.
   4. No returns accepted on cut lengths of pipe and cable or any fabricated item.
   5. Returns of special-order items require manufacturer approval in addition to Wolff approval.
   6. All Special-order returns are subject to additional manufacturer restocking fees plus all return freight and handling costs. Return credit will be net of all restocking charges.
3. Wolff disclaims all warranties. The manufacturer's warranty is the customer's sole remedy for any product defects. Customers are solely responsible for making sure all products are appropriate for the intended use. Any information provided by Wolff employees is provided solely as a courtesy.
4. Claims for damages, shortages or shipping discrepancies must be received within 5 business days of receipt of the material.
5. Customer must report billing discrepancies and pricing errors within 10 business days of the corresponding invoice date.
6. A late charge of 2% per month (24% per annum) will be invoiced on all past due balances. Customer is responsible for all costs incurred by Wolff in the collection of any unpaid amounts, including without limitation, all reasonable attorneys' fees, court costs and collection fees.
7. Customer must sign a Master Rental Agreement prior to rental of any equipment. All equipment rentals are subject to the Master Rental Agreement signed by customer and on file with Wolff.

Delivery Fee

When an order is placed for materials that are $800 or more, the $25 delivery free is waived when the following conditions are met:

• The destination is within out normal delivery schedule.
• A specific time of day for the delivery is not requested.
• The driver is not required to unload materials beyond the immediate area the delivery truck has access to.
